00ARTICLE I – NAME
The name of this organization shall be the WISSAHICKON SKI CLUB.
ARTICLE II – PURPOSE
The purpose of the Club shall be to foster the sport of skiing and related outdoors activities. It shall function as a recreational and social non-profit organization.
ARTICLE III – MEMBERSHIP Amended 10/6/66, 11/2/77, 3/11/80, 4/9/86, 1/7/96, proposed 2/12/08
Section 1 All persons shall be eligible to membership who are in sympathy with the ideals of the Club and wish to promote its purpose.
Section 2 – Classes of Membership a. Proprietary Member – Senior or head (s) of family shall claim Club assets such as the Hill and Chalet and shall be eligible to be Officer of the Club. (Proprietary Members shall be those Senior and head(s) of families who have paid current dues, initiation fee, and 1985-86 assessment as of 1/31/86) i. Individual – Twenty-one (21) years of age or older. ii. Family – Husband and/or wife and all children under twenty-one (21) years of age and registered with the Club. b. Associate Member – Shall have all skiing privileges on the Club Hill and be eligible to participate in all Club activities, however, they shall have no Proprietary claim in the Club assets, no voting privileges on matters concerning Club assets, By-laws or Constitutional changes. i. Junior – Fourteen (14) to twenty-one (21) years of age and not registered under Family Membership. c. Out of Town Member – Open to anyone who has held a current Membership and living outside a fifty (50) mile radius of Philadelphia. d. Other Types of Membership – (i.e. military, complimentary, lifetime, alumni and honorary) may be established at the discretion of the Club. These levels are designated by the Membership Committee on a case-by-case basis. They will be billed at the same rates as Out of Town Members and should receive all mailings, invitations etc. Members in these group shall have no Proprietary claim in the Club assets and no voting privileges on matters concerning Club assets, By-laws or Constitutional changes
Section 3 – Election of Members a. Proprietary Member i. Applications for Membership shall be by sponsorship of a Club Member, or at the recommendation of the Membership Committee. ii. A separate application is required of each applicant and must be presented in person at a regular meeting. (It is requested that applicants have their sponsors introduce them to the Membership Committee.) iii. Applications must be initialed twice by each of the five (5) members of the Membership Committee or their alternates. iv. Within one (1) year of application each applicant must: (a.) attend a minimum of five (5) meetings, (b.) meet the Membership Committee, or their alternates, twice (c.) attend one (1) Club work day (d.) attend one (1) social function (e.) ski a minimum of one (1) tome on a Club sponsored trip. v. Applicant acceptance must be unanimous by the five (5) members of the Membership Committee. vi. Sponsors must be members in good standing for a minimum of one (1) year and sponsorship shall be limited to two (2) applicants per year. vii. Upon unanimous recommendation by the Membership Committee, the five (5) elected officers as described in Article IV, Section 1, may by a unanimous vote waive any or all requirements for membership as set down in the By-Laws, so as to accept any individual deemed exceptionally desirable to the Club as a member.
b. Associate Member i. Unattached Juniors applying for membership shall be exempt from fulfilling the requirements for Proprietary Membership as stated in Section 3, a; but must fill out an application to be countersigned by a parent or guardian and be recommended for membership by the Membership Committee and the President of the Club. ii. Juniors may be Associate Members until they reach age twenty-one (21), at which time they may be invited to become Proprietary Members and pay their initiation fee at the prevailing rate.
ARTICLE IV – OFFICERS Amended 11/2/77
Section 1 The Officers of the Club shall consist of a President, Vice President, Recording Secretary, Corresponding Secretary and Treasurer – all of whom shall be Proprietary Members. The Officers by virtue of their office shall become members of the Board of Directors.
Section 2 The Officers shall hold officer for one (1) year and be elected at a regular meeting between March 15 and April 30 of each year. The President shall, upon election, immediately take office. All other elected officers shall take office at the start of the new fiscal year as outlined in Article IX, Section 1.
Section 3 a. The President shall appoint a Nominating Committee consisting of a Chairman and at least four (4) other members in good standing no later than January 15 of each year. b. The Nominating Committee shall submit a report placing in nomination a slate of candidates for the offices as outlined in Section 1 of this Article two (2) meetings prior to the meeting at which the election is to be held. c. The Chair shall call for nominations from the floor following the report of the Nominating Committee and at every meeting prior to the meeting at which the election of officers is held. No nominations will be accepted from the floor at the meeting at which the election is held. d. It shall be the responsibility of the Nominating Committee Chairman to submit to all members in good standing , in writing, a list of the candidates nominated by the committee and by the general membership from the floor. Notifications as to the date of the meeting at which elections will be held shall accompany this list.
Section 4 In the event vacancies occur in the elected offices, the following procedures shall be followed: a. Presidency – The Vice President becomes the President and the office of Vice President shall remain vacant until the following regular election. b. Any other vacancies among the Officers shall be filled by the Board of Directors and are subject to ratification by the Membership.
ARTICLE V – BOARD OF DIRECTORS Amended 11/2/77
Section 1 The Governing of this Club shall be conducted by the Directors, consisting of the five (5) elected Officers and the Chairmen of the Standing Committee. (All of whom must be Proprietary Members)
Section 2 a. The Board of Directors shall meet upon the call of the President. b. The President shall call the meeting of the Board upon the request of any three (3) members of the Board or twenty (20) members of the general membership.
ARTICLE VI – COMMITTEES
Section 1 There shall be a minimum of ten (10) regular meetings beginning in September in any given fiscal year, with at least one (1) regular meeting falling into each of the months.
Section 2 Special meetings may be called at the discretion of the President or any five (5) members of the Board of Directors.
Section 3 The membership shall be notified of all regular and special meetings.
Section 4 a. At both regular and special meetings there shall be a quorum of twenty (20) or more Proprietary Members present. b. Actions approved by a majority of those Proprietary Members attending any meeting at which there is a quorum shall be binding on the membership.
Section 5 The meeting shall be conducted in accordance with the establish Parliamentary Procedures.
ARTICLE VIII – DUES Amended 11/2/67, 11/2/77, 3/11/80, 4/8/86, 2/14/95, proposed 2/12/08
Section 1 a. The following annual dues and initiation fees shall apply:
i. Proprietary Members Membership Dues Initiation Fee Family $120 $350* Individual $60 $250* *may be paid over a two (2) year period.
ii. Associate Members Membership DuesJunior $10* *Upon reaching age twenty-one (21), Juniors may be invited to become Proprietary Members, at which time they must pay the prevailing initiation fee.
iii. Out of Town Members Dues $10
Section 2 a. Members shall be billed by September 1 of each year and payment of dues is to be made by October 15. b. Members failing to pay their dues on or before October 15 shall be subject to a penalty of $5.00. c. Members failing to pay their dues and the incurred penalty on or before November 1 shall be subject to loss of Membership.
ARTICLE IX – CALENDAR
Section 1 a. It shall be the responsibility of the out-going Treasure in conjunction with the newly elected Treasurer to present the financial statement for the preceding fiscal year to each of the newly elected Officers and newly appointed Committee Chairmen. b. A copy of this financial statement shall be made available for inspection by any members in good standing at their request. c. The Treasurer shall submit to the President a proposed budget for the coming year a minimum of one (1) month prior to the first regular meeting scheduled. d. A copy of the proposed budget shall be sent to each member in good standing no later than October 31 of each year. e. The President shall submit the proposed budget to the membership for its approval no later than the regular meeting in November of each year. f. No expenditures exceeding $100.00 other than those described in the approved budget shall be made by any elected Officer or Committee Chairman without the approval of the membership at either a regular or special meeting as outlined by Article VII.
ARTICLE X – LIFT SAFETY
No children under 14 years of age shall be permitted to use the ski lift unless their mother, father or an adult companion is present at the lift. The adult shall see that no loose clothing or type of clothing that will wrap around the ski lift is worn by the child getting on the ski lift. Further, the adult shall stand close to the stop button in order to stop the ski lift quickly in case a child falls or become entangled in the lift. Further, no child shall be unattended in the Chalet.
ARTICLE XI – AMENDMENTS
Amendments to the By-Laws may be put on the agenda by a favorable majority of the quorum present at the regular or special meeting of the membership. Prior to the voting of the amendment to the By-Laws, each member must be specifically notified in writing the meeting at which the proposed amendment (s) shall be made and the substantive change which will result from the proposed amendment (s).
